Terms of Sale

Quotes, payment, lead times, delivery, installation, rental and warranty.

Last updated: September 29, 2026.

These terms apply to every quote, order, rental and delivery made by DISTRI-COM USA (“EXHIBIZ”), 5593 NW 72nd Avenue, Miami, FL 33166. Accepting a quote means accepting these terms. If we have signed a separate agreement with you, that agreement comes first.

1. Accounts

The reseller space is for businesses. You are responsible for what happens under your account and for keeping your password to yourself. Reseller and distributor price levels are granted by us and can be reviewed.

2. Quotes and prices

Prices are in US dollars and exclude sales tax, which is shown separately. A quote is valid for the period shown on it, normally 30 days from the date it is issued.

Our online quote is a live document: changing an option changes the price, and the price you see is the price for the configuration on screen at that moment. Lines marked Price to confirm are not priced and are not part of the total; they are quoted separately and are added only with your written agreement.

Custom pieces are made to your artwork and to the sizes on the quote. Check them carefully: what you accept is what we build.

Materials and duties. Aluminium, fabric and freight are exposed to tariffs and surcharges that we do not control. We hold our price for the full validity of the quote. If a new or increased duty is introduced between your acceptance and the start of production, we will tell you the amount before we act; you may then confirm the order at the new price or cancel it at no cost, and any payment already made is refunded in full.

3. Lead times

Lead times are workshop dispatch times: the number of business days before your order leaves our Miami workshop. Carrier transit comes on top and is never included in that figure.

The lead time starts on the day we hold all three of: your accepted quote, your final print-ready artwork, and your payment. A file that arrives late moves the dispatch date by the same number of days — printing cannot start before the file is right.

4. Payment

Unless we have agreed otherwise in writing, orders are payable in full before production starts. Nothing is ordered, cut or printed before the payment has cleared, and your workshop slot is held from the day it clears — not from the day you accept.

Payment is by wire transfer in US dollars. Our bank details appear only on our invoice. We never send them by any other means, and we never put them on a web page. If you receive bank details for us in any other way, call us before paying.

Bank charges are for the payer. Where we have granted terms in writing, they are shown on the invoice; late payment may suspend orders in progress and carries interest at 1.5% per month on the overdue amount, to the extent permitted by law.

5. Sales tax

Florida sales tax applies to orders picked up or delivered in Florida. It is not charged if we hold your valid Florida Annual Resale Certificate, verified by our team. You remain responsible for any tax due in your own state or country, and for any import duty where the goods are delivered outside the United States.

6. Delivery, pickup and risk

You can collect your order free of charge at our Miami workshop, send your own carrier, use our courier, or have it freighted. Delivery to a trade-show advance warehouse or directly to a hall is quoted separately, on the organiser’s terms, and requires their exhibitor manual.

Risk passes to you when the goods leave our workshop or are handed to your carrier. Check them on arrival, note any damage on the carrier’s document before signing, and tell us within 48 hours with photographs. Damage reported after that cannot be pursued with the carrier, and so cannot be covered.

Delivery dates are given in good faith and depend on the carrier. We are not liable for a carrier’s delay, but we will do everything we can to help you resolve it.

7. Installation and dismantling on site

When you book our crew, we need access at the time agreed, a clear and level floor, and the venue’s own rules in advance. Waiting time caused by the venue, by another contractor or by you is billed by the hour at the rate on the quote.

Some venues require their own labour for part or all of the work. Where that applies, their rules and their prices apply, and we cannot be held to a quote made without them.

Work outside business hours, at weekends and on public holidays is surcharged at the rate shown on the quote.

8. Rental

A rented wall remains our property at all times. It is rented for the period shown on the quote and is payable in full before it leaves our workshop.

The rental period starts when the wall leaves our workshop or is delivered, whichever comes first, and ends when it is back in our hands. A late return is billed at the daily rate for each extra day started.

You return it in the condition in which you received it, normal wear excepted. Missing, broken or unusable parts are billed at replacement cost. Printed fabric is a consumable: it is yours once printed, and is not part of what you return.

While the wall is in your care you must not sublet it, modify it, drill it, paint it, adhere anything to the frame, or have it repaired by anyone else. You are responsible for loss, theft and damage from the moment it leaves our workshop until it is back with us, and we recommend that you insure it for its replacement value.

9. Custom work, changes and cancellation

Custom pieces are made for you alone. Once production has started, an order cannot be cancelled or returned unless the piece does not match the accepted quote.

Before production starts, you may cancel and we refund what you have paid, less any material already ordered for you and any graphic design work already carried out.

Changes after acceptance may change both the price and the lead time. We will tell you both before acting on them.

10. Artwork and intellectual property

You confirm that you own, or are allowed to use, the logos, images, fonts and artwork you send us, and you cover us against any claim about them. We check files for print suitability only, never for the right to use them.

We may show photographs of finished work in our portfolio and on our website unless you ask us in writing not to.

The T3 system, its profiles and connectors remain the intellectual property of their manufacturer.

11. Warranty and liability

We warrant that our work matches the accepted quote, and that aluminium frames are free from manufacturing defect for twelve months from dispatch under normal indoor use.

Printed fabric is dye-sublimated and colour-matched to the file you supply; screen colours are not a contractual reference. Normal wear, outdoor exposure, poor handling, storage in damp conditions, and installation by others are not covered.

Our liability for any order is limited to the amount of that order. We are not liable for indirect loss, including a missed show, lost revenue, lost profit, stand costs, travel or staff time.

12. Events beyond our control

We are not liable for a delay or a failure caused by something outside our reasonable control, including a carrier’s failure, a venue closure, a strike, a customs hold, a supply shortage, extreme weather or a public authority’s decision. If such an event makes an order impossible, we refund what you have paid for the part not delivered.

13. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, and any dispute belongs to the state or federal courts sitting in Miami-Dade County, Florida.
